STRICTLY CONFIDENTIALMEMORANDUM OF POLITICAL UNDERSTANDINGON LEADERSHIP TRANSITION, STRATEGIC ALIGNMENT AND ELECTORAL COOPERATION Page 0 of 5
This Memorandum of Political Understanding (“MOU”) is made this ________ day of March 2026.
BETWEEN MILES BWALYA SAMPA, of Lusaka, Republic of Zambia (hereinafter referred to as
“MBS”) AND MAKEBI ZULU, of Lusaka, Republic of Zambia (hereinafter referred to as “MZ”).
ECL refer to the late form Republican President Edgar Chagwa Lungu. ECZ refers to the Electoral Commision of Zambia.
MBS and MZ are hereinafter collectively referred to as “the Parties”.
1. BACKGROUND1.1 The Parties are senior political actors within the Patriotic Front Party (hereinafter referred to as “The Party”) & Pamodzi Alliance )”Alliance”
1.2 The Parties acknowledge ongoing internal processes relating to party leadership and the
forthcoming Party PF leadership Judgement on the 27th March 2027 and consequent PF extra ordinary conference thereafter but before filling in of general elections Presidential and MP candidates.
1.3 The Parties further acknowledge the strategic importance of unity, structured transition, resource mobilization, and coordinated leadership in preparation for the August 2026 General Election.
1.4 This MOU records the mutual political understanding reached between the Parties in furtherance of those objectives.
2. NATURE AND STATUS OF THIS MOU
2.1 This MOU reflects political intentions and good faith commitments.
2.2 Except for Clauses relating to confidentiality and documented expense reimbursement, this
MOU does not constitute a legally enforceable commercial contract.
2.3 All undertakings herein are expressly subject to:
2.3.1 The Constitution of the Republic of Zambia;
2.3.2 The Electoral Process Act and applicable electoral regulations;
2.3.3 The Party Constitution and lawful internal processes;
2.3.4 Any binding court orders.

3. LEADERSHIP TRANSITION FRAMEWORK
3.1 In the event that pending court proceedings concerning party leadership are resolved in
favour of MBS, MBS expresses willingness, in the broader interest of party unity and electoral viability, to facilitate an orderly, legal and dignified leadership transition to MZ.
3.2 Such transition shall be conducted in accordance with:
3.2.1 The Party Constitution;
3.2.2 Applicable legal requirements;
3.2.3 Public order considerations;
3.2.4 The strategic interests of the Party.
3.3 The Parties affirm that unity and electoral competitiveness remain paramount objectives.
3.4 In the event that the ruling is against MBS, he undertakes to MZ that he will not Apeal the matters but expeditiously facilitate the process of legalizing MZ as the PF & Alliance Presidential candidate for the August 2026 general elections.
3.5 MZ undertakes to meet all costs and all legal fees dues of the March 27th, 2026 High Court Judgement on the PF leadership regardless of which side its falls that is towards MBS or the late ECL as President of the party.
4. CENTRAL COMMITTEE CONTINUITY
4.1 The Parties acknowledge prior political understandings with ECL concerning composition of the Central Committee members to reflect and include MBS loyalists. MZ will pick 55% and MBS 45% in the reconstituted Central Committee.
4.2 The Parties agree to have a revised list of office bearers at the Registrar of Societies to reflect 55% as recommended by MZ and 45% by MBS.
4.3 MZ undertakes to immediately maintain and make MBS as the PF and Alliance Secretary General.
4.4 MZ undertakes to make MBS either his Runnigmate into the elections or Minister of Finance once MZ wins the August general elections and becomes the Republican President.
4.5 MZ undertakes that once wins as Republican President, he will Nominate 2 names as MPs to be recommended by MBS.
4.5 MZ undertakes that once wins as Republican President, he will appoint 20% of Ministers as recommended by MBS & in advance undertaking to make Hon John Kufuna as Defense Minister and Hazel Kapata as Minister of Information (or Foregn Affairs).
4.6 MZ agrees and undertakes to receive from MBS 45% of names and include all in the final party List to be submitted to the ECZ for proportional representation of the Youths, Women and Diabled.
5. PRESIDENTIAL CAMPAIGN STRUCTURE
5.1 Once MZ is ratified through all due processes as the Party and Alliance Presidential candidate for the August 2026 General Election:
(a) MBS shall assume the role of Campaign Manager or Co-Campaign Manager.
(b) MBS shall participate at the highest strategic level of campaign decision-making.
5.2 A separate Campaign Governance Framework shall define:
• Operational authority;
• Reporting lines;
• Financial oversight;
• Compliance safeguards.
6. RUNNING MATE CONSULTATION
If as stated in item 4.4 of this document that MBS is not the Runningmate, MZ undertakes to engage MBS in meaningful and substantive consultation regarding the selection of a Vice Presidential running mate so as to mutually pick on one that would ensure MZ, PF & the Alliance win majority votes at all levels of the August 2026 general election from the office President, MP, Mayor, Council Chairpersons to Councillor.
7. RESOURCE MOBILIZATION
MZ undertakes to mobilize adequate financial and logistical
resources necessary to:
• Secure a Win at the Party & Alliance intra party elections or ratifications.
• Sustain Party & Secreatariat operations;
• Conduct a competitive Presidential campaign by mobilizing Resources for land and air transport vessels, branded Tshirts, Chitenge, Hoods, Caps etc to cover all the 10 Provinces of Zambia
8. FUTURE EXECUTIVE CONSIDERATIONI
8.1 In the event when MZ is elected President of the Republic of Zambia, he expresses his political
intention to appointment MBS for appointment to a senior executive portfolio of strategic
national importance namely the Ministry responsible for Finance which is in line to competencies of MBS.
8.2 The Parties acknowledge that:
• Ministerial appointments are governed exclusively by constitutional processes;
• Any such appointment remains subject to parliamentary ratification where applicable;
• This clause does not create a legally enforceable entitlement.
9. LITIGATION COSTS9.1 In recognition of the strategic importance of pending legal proceedings concerning party
leadership legitimacy, MZ undertakes to reimburse reasonable and documented legal costs
incurred by MBS in that process, in the event of a successful outcome.
9.2 Reimbursement shall be limited to verified and properly invoiced legal expenses.
9.3 This clause may be implemented through a separate private funding instrument if required.
10. CONFIDENTIALITY
10.1 This MOU is strictly confidential.
10.2 Neither Party shall disclose its existence or contents without the prior written consent of the other.
10.3 Unauthorized disclosure shall constitute a material breach of political trust.
11. TERMINATION
11.1 MOU shall lapse automatically upon:
• Failure of MZ to secure nomination & presidency for the PF & or Alliance.
• Mutual written termination
• Material breach by either Party.
12. GOOD FAITH
12.1 The Parties undertake to implement this MOU in utmost good faith and in pursuit
of National, Public and Party interests.
12.2 This MOU is entered voluntarily and without coercion.
